Introduction to business entities

Selecting the right business entity is one of the most important decisions you’ll make when starting a business.

The type of business entity you choose—whether it’s a sole proprietorship, partnership, limited liability company (LLC), or corporation—will shape how your business is taxed, managed, and protected under the law. Each business structure offers different levels of personal liability protection, tax treatment, and management flexibility.

For example, sole proprietorships are simple to set up but offer no limited liability, meaning the owner is personally liable for business debts. In contrast, corporations and LLCs provide liability protection, shielding owners’ personal assets from business obligations. Understanding the differences between these business entities helps you make informed choices that align with your goals, risk tolerance, and growth plans.

Everything you need to set up a business entity

At Safeguard Global, we can help you with every aspect of the entity setup process, navigating complex and changing regulations as we go.

Registering a business

Registering your business is a critical step in establishing a strong legal foundation.

Proper registration not only provides personal liability protection and potential tax benefits, but also enhances your business’s credibility and access to funding opportunities.

Business licenses and permits

To operate legally, businesses must obtain the appropriate licenses and permits based on their industry, location, and the products or services they offer.

A focus on managing your income tax

At Safeguard Global, our expertise in global accounting means you get much more than just a simple entity setup.

Tailored solutions that grow with you

What does it take to set up a legal entity in another country?

Five workstreams: choosing the entity type (which drives taxation, liability, and management obligations), appointing directors and shareholders (some countries require a resident director; Australia does), registering the company and its name, opening local banking, and completing tax registrations, licenses, and permits. Each country sequences these differently, and the dependencies are where timelines slip.

How long does entity setup take?

Incorporation itself can be fast (the UK often approves within 24 hours), but employment-ready is the milestone that matters: payroll registrations, pension or superannuation arrangements, insurance, and banking usually push the full setup to one to three months. Plan expansion timelines from employment-ready, not from the incorporation certificate.

Should we set up an entity or use an EOR first?

Hire first, incorporate later is the pattern that works for most companies. An EOR gets people working in a new country in weeks while you decide whether the market justifies an entity; below about 50 employees in a country, the EOR usually wins on cost too. The entity becomes worth it when you need visa sponsorship, local contracting, or a permanent commercial presence, and employees can transfer across when it does.

What ongoing obligations come with a foreign entity?

The entity is the start of the spending, not the end. Annual accounts and statutory filings, corporate tax returns, payroll and indirect tax compliance, a registered office, and governance requirements all recur every year, in local language and format. Safeguard Global handles setup and the ongoing management on fixed pricing, which keeps the cost of owning the entity predictable.
